1. The Vivetrics Service
Vivetrics provides a measurement, analytics, and workflow platform designed for retail media, including integrations with third-party services such as Amazon Ads and Amazon Marketing Cloud.
The Service includes:
- The Vivetrics website
- The Vivetrics platform, including its web application and APIs
- Reporting, analytics, and data workflows
- Subscription-based features and services
Access to certain features may require an invitation, account registration, or an active subscription.
2. Eligibility & Account Responsibilities
You must be authorized to act on behalf of the organization you represent and capable of entering into a binding agreement.
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Ensuring information you provide is accurate and up to date
3. Subscriptions, Billing & Payments
Certain features of the Service require a paid subscription. Pricing, billing intervals, and plan details are presented at the time of purchase or within the Service.
Payments are processed by a third-party payment processor (e.g., Stripe). Vivetrics does not store full payment card numbers or CVV information.
By subscribing, you authorize Vivetrics and its payment processor to charge your selected payment method on a recurring basis in accordance with your chosen plan.
Fees are non-refundable except where required by law or expressly stated otherwise.
4. Third-Party Integrations (Amazon Ads & Others)
The Service may integrate with third-party platforms, including Amazon Ads APIs and Amazon Marketing Cloud, subject to your authorization.
You acknowledge and agree that:
- Vivetrics accesses and processes third-party data solely in accordance with your permissions and applicable platform policies
- You are responsible for ensuring you have the right to grant access to such data
- Vivetrics is not responsible for changes, limitations, or outages in third-party services
5. Acceptable Use
You agree not to misuse the Service. Prohibited activities include, but are not limited to:
- Violating any applicable laws or regulations
- Violating third-party platform terms (including Amazon policies)
- Attempting to access data or systems without authorization
- Interfering with or disrupting the Service
- Reverse engineering or attempting to extract source code
Vivetrics may suspend or terminate access if it reasonably believes the Service is being used in violation of these Terms.
6. Intellectual Property
Vivetrics and its licensors retain all rights, title, and interest in the Service, including all software, content, trademarks, and proprietary technology.
Subject to these Terms, Vivetrics grants you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.
7. Confidentiality
Each party agrees to protect the other’s confidential information and to use it solely for purposes related to the Service.
8. Disclaimers
The Service is provided on an “as is” and “as available” basis. Vivetrics makes no warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or accuracy of results.
Analytics, reporting, and insights provided by Vivetrics are intended to support decision-making but do not guarantee performance or outcomes.
9. Limitation of Liability
To the maximum extent permitted by law, Vivetrics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
Vivetrics’ total liability for any claim related to the Service shall not exceed the amount paid by you to Vivetrics in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
You may stop using the Service at any time. Vivetrics may suspend or terminate access for violation of these Terms or for legal or security reasons.
Upon termination, your right to access the Service will cease, but provisions that by their nature should survive will remain in effect.
11. Changes to These Terms
Vivetrics may update these Terms from time to time. Material changes will be posted on this page, and continued use of the Service constitutes acceptance of the updated Terms.
12. Governing Law
These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.
